The short version
These Terms of Service govern your use of this website at impeto.biz. They cover what you can do on the site, what we own, what happens when you submit information to us, what we do and don't promise, and how disputes get resolved.
If you use the site, you agree to these Terms. If you don't agree, don't use the site.
These Terms cover the website only. If you engage Impeto for work, that engagement has its own separate letter with its own terms — those govern the working relationship.
Who can use this site
This site is intended for people evaluating Impeto's services or interested in how we think about founder-stage operations. You can use it freely for those purposes.
You may not:
- Copy, republish, or redistribute site content without permission
- Scrape, harvest, or extract data from the site through programmatic means
- Use the site to send unsolicited commercial messages to us or through us
- Attempt to access non-public areas of the site or its infrastructure
- Use the site in any way that violates applicable law
- Impersonate anyone else when submitting a form or contacting us
If we notice serious misuse, we may block access.
Content and intellectual property
The content on this site — including the copy, design, logos, illustrations, tools, and any downloadable resources — is owned by Impeto Labs or used with permission.
You can:
- Read anything on the site
- Share links to any page
- Quote briefly from the site with attribution
- Download resources we specifically offer for download
You can't:
- Reproduce site content wholesale on another site
- Modify or create derivative works from Impeto content without permission
- Use Impeto's name, logo, or branding to imply endorsement or affiliation without permission
- Sell or commercially distribute anything you download from the site

Content you submit
When you submit information through one of our forms — the Forensic Audit intake, the Contact form, or the Diagnostic Scorecard — you give us permission to use that information for the purposes described in our Privacy Policy: to respond to you, deliver the service you asked for, and maintain business records.
You keep ownership of what you submit. We don't claim rights to your company's information beyond what's needed to respond to you and, if applicable, deliver services under an engagement letter.
Submit only information you have the right to share. Don't submit confidential information you're not authorized to disclose.
Free tools and resources
Some of what we publish — including the Diagnostic Scorecard and any downloadable resources — is offered at no cost.
These tools are provided as-is. They reflect how we think about founder-stage operations and can be useful starting points. They are not substitutes for professional advice tailored to your specific situation. See "What this site is (and isn't)" below.
The Scorecard produces a diagnostic result based on the answers you provide. Different answers produce different results. The result is a starting point for a conversation, not a prescription.
What this site is (and isn't)
Impeto is a systems-and-process advisory firm. The content on this site — including the Diagnostic Scorecard, any tools we publish, service descriptions, and case studies — describes how we think about founder-stage operations and what we do for clients.
It is not:
- Financial advice
- Legal advice
- Tax advice
- Investment advice
- Accounting advice
If you need any of the above, work with a qualified professional in that field.
Nothing on this site creates a professional advisory relationship between you and Impeto. That relationship only exists after a signed engagement letter.
No guarantees about outcomes
Nothing on this site — including anything you receive from us through a form, the Diagnostic Scorecard, or a Discovery Call — is a promise or guarantee about what will happen for your business.
Specifically:
- We don't guarantee that you will raise a funding round.
- We don't guarantee that following our recommendations will lead to any particular business result.
- We don't guarantee that using our tools or engaging our services will produce a specific outcome for your company.
We describe what we build and what our engagements deliver. We don't promise what those deliverables will produce for you — because too many other factors are outside our control.
If you engage us for work, that engagement is governed by a separate engagement letter with its own terms.
Third-party services and links
This site links to other websites — including our data processors' privacy policies, our booking tool (TidyCal), and occasionally external references or resources.
We don't control those sites, and we're not responsible for their content, policies, or practices. Following an external link means you're leaving our site and entering a site with its own terms.
We choose the tools we integrate with carefully, but each maintains its own terms of service that govern your relationship with them.
Limitation of liability
Use of this site is at your own risk. To the maximum extent permitted by law, Impeto Labs is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the site.
This includes lost profits, lost business opportunities, lost data, and business interruption — whether the claim is based on contract, tort, negligence, strict liability, or otherwise, and whether or not we were advised of the possibility of such damages.
Nothing in this section limits liability that can't be limited under applicable law.
Indemnification
If your use of the site causes a claim against Impeto Labs — including from a third party affected by something you submitted or did through the site — you agree to defend and indemnify us against that claim.
This includes reasonable legal fees and costs. This doesn't apply to claims caused by our own negligence or wrongdoing.
Termination and enforcement
We reserve the right to block access to the site — for a specific visitor, a specific IP range, or in general — if we notice misuse or need to protect the site's integrity. We don't need to give notice or explain the reason.
If we don't enforce a specific term at a particular time, it doesn't mean we've waived our right to enforce it later.
If any part of these Terms is found unenforceable, the rest still apply.
Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the most recent change.
If we make a material change, we'll flag it at the top of the page for a reasonable period after the change goes into effect. Your continued use of the site after a change means you accept the updated Terms.
Governing law
Impeto Labs is based in California. These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Any dispute arising from your use of this site is subject to the exclusive jurisdiction of the state and federal courts located in California.
